General Terms and Conditions of Use

Kokonut ecosystem: Fid, Slice, Business, FYSK and related services

1. Preamble and scope

These General Terms and Conditions of Use (hereinafter the "Terms") govern access to and use of the Kokonut platform and all of its modules, published by:

Leev Sàrl, Route de Rossemaison 100, 2800 Delémont, Switzerland (hereinafter "Leev" or "we").

They apply to all services of the Kokonut ecosystem, in particular:

  • Kokonut Fid: AI-assisted pre-accounting for fiduciaries;
  • Kokonut Slice: bulk document preparation and splitting;
  • Kokonut Business: business management, invoicing and administration;
  • FYSK: AI assistant for tax and accounting matters;
  • programmatic access to the platform (API, MCP servers);
  • the optional services offered by Leev, such as delegated data entry.

By creating an account or using any of these services, the user accepts these Terms as well as the Privacy Policy, which forms an integral part thereof. Any specific terms (offer, quotation, framework agreement) prevail over these Terms in the event of a discrepancy.

The services are aimed primarily at professionals (fiduciaries, companies, self-employed persons) and are also open to private individuals. These Terms apply in full to all users.


2. Definitions

  • Platform: all applications, websites, APIs and MCP servers operated by Leev under the Kokonut brand;
  • Client: the natural or legal person holding the account and, where applicable, the subscription;
  • User: any person who accesses the Platform under the Client's account (employees, agents);
  • Client Content: the data, documents, accounting records and information uploaded to or generated by the Client on the Platform;
  • AI Services: the features based on artificial intelligence models (extraction, classification, suggested entries, FYSK answers, translations, etc.).

3. Description of the services

Kokonut provides digital tools supporting management, accounting preparation and administration, in particular: extraction of data from documents (invoices, receipts, statements), assisted bank reconciliation, suggested entries, document preparation, exchange of documents between fiduciaries and their clients, invoicing and exports to third-party accounting software.

Kokonut services are assistance tools. They in no way replace an accountant, a fiduciary, a tax expert, a lawyer or a financial adviser, and provide neither accounting advice, nor tax advice, nor legal advice.

Compatibility with third-party software (import/export) depends on the formats published by that software; Leev does not warrant the behaviour of the third-party software itself.

Beta features. Leev may make available features or services designated as "beta", "preview", "experimental" or any equivalent term. These features are provided "as is", for evaluation purposes: they may contain errors, be modified, suspended or withdrawn at any time without notice, and carry no warranty of availability, reliability, accuracy or continuation. The Client uses them at its own risk, must not rely on them for critical processes, and Leev's liability in respect of them is excluded to the extent permitted by law (art. 14).


4. User account

The user undertakes to:

  • provide accurate and up-to-date information when creating the account;
  • keep its credentials confidential and activate the security measures offered (two-factor authentication where available);
  • inform Leev without delay of any unauthorised use of its account.

The Client is liable for the acts of the Users it attaches to its account (employees, mandates, guests) as for its own acts. Fiduciaries opening spaces for their own clients warrant that they hold the authorisations necessary to process the latter's data.


5. Artificial intelligence services

5.1 Nature of the results

The AI Services produce automatically generated suggestions (extractions, classifications, suggested entries, answers). These results are probabilistic in nature and may be incomplete or incorrect. Every suggestion must be reviewed and validated by the user before use, in particular before any export to accounting software and before any management, accounting or tax decision.

5.2 Hosting and data sovereignty

Data is primarily processed on infrastructure located in Switzerland (datacenters operated by Infomaniak). Where the internal models cannot deliver a result, the Platform may fall back on a European AI engine (currently Mistral, European Union), to the exclusion of any API subject to the US Cloud Act for the processing of Client Content.

No Client data is used to train artificial intelligence models without the Client's express authorisation (art. 7.2).

5.3 "Cloud Act Free" commitment

Leev selects its providers so as to maintain operations independent of players subject to the Cloud Act, including for the European fallback mechanism. This is a best-efforts commitment: Leev cannot guarantee the absence of subsequent changes at an external provider (change of subcontractor, of legal structure or of shareholding) liable to affect this compliance. Should such a change be identified, Leev will take all reasonable measures to adapt the service and preserve data sovereignty. Payment processing is an exception: it is handled by Stripe (see art. 9), which the Client expressly accepts.


6. Professional responsibilities of the Client

Kokonut provides tools that facilitate bookkeeping and the preparation of tax obligations. Ultimate responsibility for the proper keeping of the accounts (art. 957 et seq. of the Swiss Code of Obligations, CO), for compliance with tax obligations (in particular the VAT Act) and for statutory deadlines nevertheless remains with the Client, respectively with its governing bodies or agents.

Fiduciaries using Kokonut Fid remain solely responsible towards their own clients for the services they provide to them. Kokonut is not a party to the contractual relationship between the fiduciary and its clients.


7. Data, confidentiality and security

7.1 Data protection

The processing of personal data is described in the Privacy Policy, which complies with the Swiss Federal Act on Data Protection (revised FADP, in force since 1 September 2023) and, for the users concerned, with the GDPR.

In summary:

  • Client Content is hosted in Switzerland (Infomaniak); certain providers (Stripe for payments, Mistral for fallback AI) may process data in the European Union;
  • communications are encrypted (TLS) and data is protected by bank-grade encryption (256-bit / AEAD);
  • Leev neither sells nor otherwise commercialises any data; no transfer to third parties takes place, apart from subcontractors necessary to the service and Swiss legal obligations;
  • the technical team accesses Client Content only at the Client's request, where a technical incident requires it or under a legal obligation; every access is logged.

7.2 Ownership and use of Client Content

Client Content remains the property of the Client. Leev processes Client Content solely to the extent necessary to provide the subscribed services (hosting, technical processing, backups).

Any use for other purposes, in particular the improvement of the services or of the models, requires the Client's express and prior authorisation, given on a case-by-case basis (opt-in) when the document or dataset concerned is transmitted. This authorisation is optional, has no bearing on access to the service and may be revoked at any time with effect for the future.

7.3 Roles, warranties and archiving

  • For the personal data contained in the Client Content, the Client acts as controller and Leev as processor, on the Client's instructions, within the framework of these Terms.
  • The Client warrants that it holds all rights and authorisations necessary over the Client Content, including vis-à-vis its own clients and the data subjects, and that such content infringes no third-party right and no legal provision.
  • The Client shall fully indemnify Leev against any third-party claim, including reasonable defence costs, arising from the Client Content, from its unlawfulness or from any use of the Platform contrary to these Terms.
  • Leev provides tools that facilitate compliance with the statutory retention and archiving obligations (in particular art. 957a and 958f CO), protects the data and performs regular backups. Ultimate responsibility for complying with these obligations nevertheless remains with the Client, who is invited to export its archives regularly or to carry out its own internal backups.
  • Leev's technical backups are intended for service continuity; they give the Client no right to the return of data after the end of the contract (art. 10.3).

8. Banking data

The Platform allows the processing of statements and bank files provided by the Client (in particular in ISO 20022 / camt formats) for reconciliation and accounting automation purposes.

Kokonut establishes no direct connection to banking systems, stores no banking credentials and carries out no transaction or payment order.


9. Prices, invoicing and payment

9.1 Prices and subscriptions

Prices are expressed in Swiss francs (CHF) and are exclusive of VAT; Swiss VAT is invoiced in addition at the applicable rate.

  • Subscriptions are entered into on a monthly basis and renew tacitly from month to month unless terminated (art. 10).
  • A 14-day free trial is offered for Kokonut Business only.
  • Payment is made by card through the provider Stripe; Leev stores no card data. In the event of a failed payment, Leev sends a reminder and may then suspend access to the service until the situation is regularised.
  • Leev may adjust its prices for the following contractual period subject to at least 30 days' prior written notice (email or in-app notification). If the Client refuses the change, it may terminate its subscription as of the current expiry date; failing termination, the new price is deemed accepted.

9.2 Subscription on invoice (professional clients only)

Subject to Leev's agreement, professional clients may pay their subscription on invoice.

  • Invoices are payable within 10 days of their issue date.
  • Failing payment within this period, Leev may suspend access to the service until payment in full, without further notice of default.
  • The Client already accepts the invoicing of reminder and formal notice fees according to Leev's applicable rates, of statutory default interest as well as, as a last resort, of the costs of debt enforcement proceedings.
  • Any invoice that is not disputed in writing before the expiry of its payment period is deemed tacitly accepted and constitutes an acknowledgement of the corresponding debt within the meaning of art. 82 DEBA (Federal Act on Debt Enforcement and Bankruptcy, LP/SchKG).
  • Claims for damages remain reserved.

10. Term, termination and account deletion

10.1 Ordinary termination

The Client may terminate its subscription at any time from its dashboard or in writing. Termination takes effect at the end of the current subscription month; the features remain accessible until that date. Periods already started are not refunded.

10.2 Extraordinary termination and suspension

Either party may terminate the contract with immediate effect for good cause. Leev may further suspend an account, after warning except in urgent cases, in the event of fraud, misuse, non-payment or serious breach of these Terms.

10.3 Archiving and deletion of data

The Client is responsible for archiving its data and documents. It is up to the Client to export, before the end of the contract, the Client Content it needs, by means of the export functions available in the Platform.

Leev guarantees no time frame for the return of data after the end of the contract; a request addressed to support may nevertheless, as a matter of goodwill, result in an export. After the end of the contract or upon an express deletion request, the data is erased, subject to the statutory retention obligations applicable to Leev.


11. Availability and maintenance

Leev aims for an annual availability of 99% of the Platform, without this rate constituting a contractual guarantee in the absence of a separate service level agreement (SLA). Interruptions may occur for maintenance, updates or improvements; planned maintenance is, as far as possible, announced in advance and carried out outside business hours.


12. Acceptable use and restrictions

The following are prohibited, in particular:

  • diverting the service from its intended purpose or using it for unlawful purposes;
  • attempting to access the systems of Leev or of third parties without authorisation;
  • decompiling, disassembling or analysing the internal components of the Platform, subject to the mandatory exceptions of Swiss law;
  • impersonating a third party or uploading content to which the Client does not hold the rights;
  • reselling, sublicensing or making the service available to third parties without Leev's written agreement;
  • placing abusive load on the API or the MCP servers (deliberate overload, circumvention of technical limits, sharing of personal access tokens).

Leev may take the proportionate technical measures necessary to protect the Platform in the event of a breach.


13. Intellectual property

The Kokonut brand, the FYSK brand, the Platform and all of their software, visual and textual elements are the exclusive property of Leev Sàrl or of its licensors. The subscription grants the Client a personal, non-exclusive and non-transferable right of use, limited to the term of the contract.

Client Content remains the property of the Client (art. 7). Suggestions and feedback voluntarily submitted to Leev may be freely used to improve the services.


14. Warranties and liability

To the extent permitted by Swiss law:

  • the services are provided "as is" and as available; Leev warrants neither the complete absence of errors nor fitness for a particular purpose;
  • Leev is liable without restriction for damage caused intentionally or through gross negligence (art. 100 CO), as well as for personal injury;
  • for the remainder, Leev's liability is excluded for slight negligence and, to the extent permitted, limited to direct damage; it is capped, per contractual year, at the amount of the fees paid by the Client during the twelve months preceding the damaging event;
  • indirect and consequential damage (loss of profit, loss of data not attributable to a fault of Leev, third-party claims, tax penalties, default interest) is excluded to the extent permitted by law;
  • Leev is not liable for decisions taken on the basis of AI Service results that have not been verified in accordance with art. 5.1, nor for the content and operation of third-party software and services.

15. Force majeure

Neither party is liable for the non-performance of its obligations due to an event of force majeure (natural disaster, major infrastructure or network failure attributable to a third party, armed conflict, decision of an authority, cyberattack of exceptional scale). The obligations concerned are suspended for the duration of the event.


16. Changes to the services and to the Terms

Leev develops the Platform on an ongoing basis and may add, modify or withdraw features, provided that the essential characteristics of the subscribed service are preserved.

These Terms may be updated. Any substantial change is notified at least 30 days before it takes effect (email or in-app notification). A Client who refuses the change may terminate its subscription as of the effective date; use of the service beyond that date constitutes acceptance.

18. Miscellaneous provisions

  • Assignment: the Client may not assign the contract without Leev's written agreement; Leev may assign the contract to a company it controls or in the context of a restructuring, which the Client accepts.
  • Severability: the invalidity of one clause does not affect the validity of the others; the invalid clause is replaced by a valid provision of economically equivalent effect.
  • Entire agreement: the Terms, the Privacy Policy and any specific terms constitute the entire agreement.
  • Language: the Terms may be translated; the French version prevails.

19. Governing law and jurisdiction

These Terms are governed by Swiss substantive law, to the exclusion of conflict-of-law rules and of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction is Porrentruy, Switzerland.
